Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and SAAGERS NEXT PRIVATE LIMITED, a company incorporated in India with its registered office at Kasba Jana, Auraiya, Uttar Pradesh 206129, India ("Vidyak," "we," "us," or "our"), and govern your access to and use of the Vidyak website, mobile applications, and related services (the "Service").
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
1. Eligibility, Minors, and Parental Consent
- The Service is intended for school students and is available to users worldwide.
- You must be old enough to form a binding contract in your country, or use the Service under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.
- If you are below the age of digital consent in your jurisdiction (for example, 13 in much of the world, up to 16 in parts of the EEA, and 18 in India), you may use the Service only with the involvement and consent of a parent or legal guardian, as described in our Privacy Policy — by checking the acceptance box at account creation, you represent that this consent has been obtained. By allowing a minor to use the Service, the parent or guardian agrees to these Terms and is responsible for the minor's use.
- We ask for your date of birth at sign-up, and we may limit or refuse access where age requirements are not met.
2. Description of the Service
Vidyak is an AI-powered educational platform. The Service allows you to:
- submit a topic or question and receive an instant AI-generated text answer, grounded where possible in curriculum and textbook content;
- optionally generate an AI video lesson from a topic, including animated explanations, narrated audio, and downloadable PDF lesson notes;
- optionally set a board, class or grade level, explanation style, difficulty, and narration language to personalise your experience;
- maintain an account with saved chat and session history.
The Service may be offered with both free and paid plans (see Section 7). We may add, change, or remove features at any time.
3. Accounts
- You must provide accurate, current, and complete information when creating an account, and keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at support@vidyak.com of any unauthorised use.
- Accounts are for individual use by a student (or by a parent or guardian on a student's behalf). Do not share an account in a way that circumvents usage limits or misrepresents identity.
- We may suspend or terminate accounts that violate these Terms, that provide false information, or that are used in a way that could harm the Service, other users, or third parties.
4. AI-Generated Content — Important Disclaimers
Please read this section carefully. It is central to how you should use Vidyak.
- All content generated by the Service — text answers, video lessons, animations, narration, and PDF notes — is produced by AI systems, including large language models operated by third parties. AI-generated content may contain factual errors, inaccuracies, outdated information, incomplete reasoning, or omissions, despite our efforts to ground answers in verified textbook material where possible.
- Vidyak is an educational supplement, not a substitute for your school curriculum, textbooks, or guidance from qualified teachers. It is not a source of professional advice of any kind.
- You (and, for a minor, the parent, guardian, or teacher) should independently verify any factual, mathematical, scientific, or exam-relevant content before relying on it, especially for board exams, graded assignments, and formal assessments.
- We make no warranty that AI-generated content is accurate, complete, current, or fit for any particular academic or examination purpose.
- Different users may receive different responses to similar prompts, and responses may change over time.
5. Acceptable Use
You agree not to:
- use the Service to generate or distribute content that is unlawful, harmful, harassing, defamatory, hateful, obscene, sexually explicit, or that exploits or endangers minors;
- use the Service to cheat on a proctored or supervised examination, or in any way that violates your institution's academic-integrity rules;
- attempt to reverse-engineer, decompile, scrape, or extract the Service's underlying models, prompts, or source code, except to the extent this restriction is prohibited by applicable law;
- use bots, scripts, or other automated means to access the Service outside of any officially provided API, or to place unreasonable load on our infrastructure;
- probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure;
- misrepresent your identity, age, board, or class level in a way intended to abuse the Service;
- upload or transmit malware, or use the Service to infringe the intellectual-property or privacy rights of others;
- resell, sublicense, or commercially exploit the Service or generated content except as expressly permitted in Section 6.
We may investigate and take appropriate action, including removing content, suspending or terminating access, and reporting activity to law enforcement.
6. Intellectual Property and Content Rights
6.1 Your prompts
You retain ownership of the prompts, questions, and other original content you submit ("User Content"). You grant Vidyak a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, and transmit your User Content as necessary to operate, secure, and improve the Service, including transmitting it to the third-party AI providers described in our Privacy Policy. You represent that you have the rights needed to grant this licence and that your User Content does not violate Section 5.
6.2 Generated outputs
Subject to your compliance with these Terms, we assign to you, or grant you a perpetual, non-exclusive, worldwide, royalty-free licence to use, the text answers, video lessons, and PDF notes generated from your prompts, for your personal and educational purposes. You may share them for non-commercial educational use with attribution to Vidyak. Because AI systems can generate similar outputs for different users, we cannot and do not grant you exclusive rights in any generated output, and identical or similar content may be generated for others.
6.3 Platform intellectual property
We and our licensors retain all right, title, and interest in and to the Service itself, including our software, models, pipelines, templates, user interface, curriculum catalogue, the "Vidyak" name, logo, and other brand features. Except for the rights expressly granted in Section 6.2, these Terms grant you no rights in our intellectual property.
6.4 Third-party and textbook content
Portions of grounding content are derived from textbooks that remain the property of their respective publishers or government bodies. Stock images or clips used inside generated videos are licensed from third-party providers and remain subject to those providers' licences. We do not claim ownership of that underlying source material.
6.5 Feedback
If you send us suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it without restriction or compensation.
6.6 Copyright complaints
If you believe content on the Service infringes your copyright, email support@vidyak.com with: your contact details; identification of the work and the allegedly infringing material with enough detail to locate it; a statement that you have a good-faith belief the use is not authorised; a statement that your notice is accurate; and your electronic or physical signature. We will respond to valid notices, including by removing infringing content and, in appropriate cases, terminating repeat infringers.
7. Paid Plans, Billing, and Refunds
- Pricing and plans. Current plans, features, prices, currency, and billing period are shown on our pricing page at the time of purchase. Prices may change prospectively; a change will not affect a plan period you have already paid for.
- Payment. Payments are handled by third-party payment processors (for example, Razorpay for payments in India, and other processors elsewhere). By purchasing, you authorise the applicable processor to charge your selected payment method, and you agree to that processor's terms. Taxes may be added where applicable.
- Plan period and renewal. Unless a plan is expressly described as auto-renewing at checkout, a paid plan grants access for a single stated period and does not automatically renew; you may purchase a new period at any time. Where a plan is described as auto-renewing, it renews at the then-current price until cancelled, and you may cancel before the next renewal date to stop future charges.
- Cancellation. You may cancel a paid plan at any time. Cancellation stops future renewals (if any); it does not shorten the period you have already paid for, during which you keep access.
- Refunds. Except where a non-waivable consumer-protection law in your jurisdiction requires otherwise, payments are non-refundable and there are no refunds or credits for partially used periods. We may, at our discretion, offer a refund for a failed or duplicate transaction, or a documented service failure. Refund requests: support@vidyak.com.
- Non-payment. If a charge fails or is reversed, we may suspend or downgrade your access to paid features.
- Free tier and trials. We may offer, change, or withdraw free features or trials at any time.
8. Third-Party Services
The Service relies on third-party AI, payment, and infrastructure providers described in our Privacy Policy. We are not responsible for the availability, accuracy, performance, or acts and omissions of those third-party services, though we select providers we believe to be reliable. Your use of a third-party payment processor is additionally governed by that processor's own terms and privacy policy.
9. Availability, Changes, and Beta Features
- We may modify, suspend, or discontinue any part of the Service at any time, with or without notice, particularly during early-development stages.
- We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.
- Features labelled beta, preview, or experimental are provided "as is," may be changed or removed at any time, and may be subject to additional terms.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL AI-GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT AI-GENERATED CONTENT IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY ACADEMIC, EXAMINATION, OR ASSESSMENT PURPOSE.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. In that case, such warranties are limited to the minimum extent permitted by law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- VIDYAK AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, ACADEMIC STANDING, OR EXAM PERFORMANCE, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE OR ANY RELIANCE ON AI-GENERATED CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THAT PERIOD, OR (B) ONE THOUSAND INDIAN RUPEES (INR 1,000) OR ITS EQUIVALENT.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or for any other liability that applicable law does not permit to be limited. Where such laws apply to you, the above limitations apply only to the extent permitted.
12. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Vidyak and its directors, employees, and suppliers from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your misuse of the Service, your violation of these Terms, your User Content, or your violation of any law or third-party right. This section does not apply to a minor to the extent applicable law limits a minor's liability; in that case it applies to the consenting parent or guardian.
13. Termination
- You may stop using the Service and delete your account at any time (see Privacy Policy, Section 14).
- We may suspend or terminate your access, with notice where practicable, if you materially or repeatedly breach these Terms, if required by law, or if your use poses a risk to the Service or others. We may also discontinue the Service generally with reasonable notice.
- On termination, your licence to use the Service ends. Sections that by their nature should survive (including Sections 4, 6, 7 for amounts owed, 10, 11, 12, 14, and 15) survive termination.
14. Governing Law and Dispute Resolution
- These Terms are governed by the laws of India, without regard to its conflict-of-law rules.
- Subject to the paragraph below, the courts at Auraiya, Uttar Pradesh, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction.
- Mandatory local rights. If you are a consumer resident in a jurisdiction whose law guarantees you the protection of mandatory local consumer provisions or the right to bring proceedings in your local courts, nothing in these Terms deprives you of those protections or that right.
- Before filing a claim, you agree to try to resolve the dispute informally by contacting support@vidyak.com; if it is not resolved within 30 days, either party may pursue formal proceedings as permitted above.
15. General
- Changes to these Terms. We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email before they take effect, and update the "Last updated" date. Continued use after the effective date constitutes acceptance; if you do not agree, stop using the Service and delete your account.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Vidyak regarding the Service and supersede any prior agreements.
- Severability. If any provision is held unenforceable, the rest remain in effect and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control.
- Relationship. These Terms do not create any partnership, agency, employment, or joint venture between you and Vidyak.
- Notices. We may give notices through the Service or by email to the address on your account. You may contact us at support@vidyak.com.
- Export and sanctions. You represent that you are not located in, or a national of, a country subject to a comprehensive embargo, and that you are not on any restricted-party list, under applicable law.
